glendonTodd Capital LLC divulga fusão entre a Aztec Systems, Inc. e a Toutatis Client Services do Brasil, S.A.

A glendonTodd Capital LLC (“glendonTodd”), uma empresa de fundos privados com sede em Dallas anunciou hoje a fusão da Aztec Systems, Inc. (“Aztec”) e da Toutatis Client Services do Brasil, S.A. (“Toutatis”), criando uma empresa multinacional outsourcing de tecnologia da informação e processos empresariais com mais de 1.000 clientes em 13 países e territórios nas Américas. A fusão está sujeita às aprovações necessárias de sócios limitados e o fechamento está previsto para o primeiro trimestre de 2013. Os termos da transação não foram divulgados.

A empresa fusionada, que será denominada Toutatis Aztec Solutions LLC (“TAS”), terá sua sede em Dallas e prestará serviços que incluem outsourcing de recursos humanos, finanças e contabilidade, compras, tecnologia da informação e serviços de host de dados para um grupo crescente de clientes multinacionais e mercado de médio porte nas Américas.

Aztec, uma empresa pertencente à carteira da glendonTodd, é uma firma de serviços integrais de tecnologia da informação, classificada recentemente como a 27a maior revendedora de valor agregado, e é um parceiro-ouro da Microsoft®. Sediada em Dallas, a Aztec possui seis escritórios distribuídos no Texas e Oklahoma. Toutatis, uma empresa pertencente à carteira da glendonTodd, é uma firma de outsourcing de serviços integrais de processos de negócios sediada em São Paulo e que possui nove escritórios em sete países, fornecendo serviços de outsourcing de processos empresariais para clientes em 12 países e territórios. A fusão criará uma companhia com oportunidades significativas de mercado e presente em todas as ofertas de serviços complementares. A Toutatis terá acesso à base crescente de mais de 800 clientes da Aztec nos EUA, e a Aztec terá acesso à base crescente de mais de 300 clientes da Toutatis na América Latina.

Marcelo França, CEO da Toutatis e sócio fundador da Performa Partners, será o CEO da TAS após a fusão. A TAS pretende fundar um novo centro de serviços compartilhados multilíngue no Dallas composto por 250 funcionários, para complementar os centros já existentes no Brasil e no México. A Performa Partners tem apoiado as mudanças operacionais e financeiras da Toutatis durante os últimos três anos e assessorou a fusão com a Aztec.
